Terms of Service

Last updated: October 20, 2026

These Terms of Service (“Terms”) govern your access to and use of Filedepot's websites, applications, APIs, and related services that enable users to upload, store, organize, distribute, and download digital files (the “Service”). By creating an account, uploading content, generating download links, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity.

Filedepot is designed for legitimate personal and business file hosting—similar in spirit to classic file lockers and media-sharing platforms where users control what they store and who receives links—not for circumventing law, infringing rights, or operating large-scale piracy or malware distribution. These Terms make that expectation explicit so the Service remains usable and safe for everyone.

1. Eligibility and accounts

You must be old enough to form a binding contract in your jurisdiction and not barred from using the Service under applicable law. You are responsible for providing accurate registration information and for all activity under your account. You must keep credentials confidential, not share accounts in ways that violate your plan or our policies, and notify us promptly if you suspect unauthorized access. We may refuse registration, close duplicate or abusive accounts, or require additional verification when we detect risk.

2. Description of the Service

The Service provides cloud storage, file management features (such as folders and metadata), and mechanisms to share files with others via links or other access methods we support. Features, limits, and availability may differ by plan or region. We may add, modify, or retire features; we may perform maintenance that temporarily affects access; and we do not guarantee uninterrupted or error-free operation. Bandwidth, storage caps, maximum file sizes, number of simultaneous transfers, and link behaviour (including expiry) are described in the product, your plan documentation, or in-app notices and may change with reasonable notice where required.

You understand that public or unlisted links can be forwarded by recipients. A link is not a substitute for encryption or legal confidentiality if you are handling highly sensitive data—use additional protections where appropriate.

3. Acceptable use

You may use the Service only in compliance with these Terms and all applicable laws. The following non-exhaustive list describes prohibited uses that are especially serious for any file-hosting or download platform:

  • Uploading, storing, sharing, or distributing content that is illegal in any relevant jurisdiction—including, without limitation, child sexual abuse material, non-consensual intimate imagery, content that promotes terrorism or extreme violence, or materials that violate export control or sanctions laws.
  • Infringing intellectual property rights: for example, sharing commercial software, games, films, music, books, or other works without authorization from the rights holder, or operating the Service as a warez, “scene,” or similar distribution hub.
  • Distributing malware, ransomware, exploit kits, spyware, cryptominers, or other harmful code; phishing kits; or content designed primarily to defraud, hijack accounts, or damage systems.
  • Using the Service to send spam, unsolicited bulk messages, or deceptive marketing; or to harvest email addresses or personal data from other users without permission.
  • Attempting to break, bypass, or overload security measures, quotas, rate limits, authentication, billing, or access controls; probing or attacking our or others' infrastructure through the Service.
  • Reselling or redistributing raw storage or bandwidth in ways that violate your plan terms; operating public mirrors or “leech” sites that exist mainly to hotlink others' paid capacity without our written consent; or using automated means to scrape the Service or mass-create accounts.
  • Misrepresenting the origin or nature of files; impersonating others; or using the Service to facilitate harassment, stalking, or doxxing.
  • Storing or sharing content that violates the privacy or contractual obligations of third parties when you lack a lawful basis to do so.

We may investigate reports from users, rights holders, and authorities. We may remove or disable access to content, suspend or terminate accounts, throttle traffic, or cooperate with law enforcement where we believe it is necessary. Determinations may be automated, manual, or both. You agree that we are not obligated to pre-screen uploads; however, we may monitor the Service to enforce these Terms and protect users.

4. Your content and license to us

You retain ownership of intellectual property rights in content you upload, subject to the licenses below. You represent and warrant that you have all rights necessary to upload and share your content through the Service and that doing so does not violate third-party rights or law.

To operate the Service, you grant Filedepot a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display (where the product provides previews or listings), and create technical copies (including backups and cached copies) of your content solely for the purpose of providing, securing, and improving the Service and enforcing these Terms. This license ends when your content is deleted from our systems, except for reasonable backup retention and copies we are legally required or permitted to keep.

You are solely responsible for the content you upload and for whom you share links. We do not endorse user content.

5. Copyright and takedown requests

We respect intellectual property rights. If you believe content on the Service infringes your copyright or other rights, contact us with the information reasonably required to evaluate the claim, such as identification of the work, the location (URL) of the material, your contact details, a statement of good faith belief that use is not authorized, and a statement under penalty of perjury (where applicable) that your notice is accurate and that you are authorized to act. We may remove or disable access to reported material and may terminate repeat infringers in appropriate circumstances.

If you believe your content was removed in error, you may submit a counter-notice or appeal following instructions we provide where required by law (for example, under the U.S. Digital Millennium Copyright Act).

6. Plans, fees, and billing

Some features require a paid subscription or one-time payment. Prices, taxes, billing cycles, and renewal terms are presented at checkout or in your account. Unless stated otherwise, subscriptions renew automatically until you cancel through the method we provide (often via our payment processor's customer portal). You authorize us and our payment partners to charge your payment method for all fees incurred.

Except where mandatory consumer laws provide otherwise, fees are non-refundable once the billing period has started, and we do not provide credits for partial periods or unused storage. We may change prices with advance notice; continued use after the change may constitute acceptance. If a payment fails, we may suspend paid features or downgrade your account until payment succeeds.

7. Fair use of resources

File hosting platforms can be abused for excessive hotlinking, streaming through direct links in ways that strain the network, or storing content primarily for redistribution rather than personal or organizational use. We may cap bandwidth, impose rate limits, require plan upgrades, or restrict features if your usage is disproportionate, degrades performance for others, or is inconsistent with ordinary product use—even if you have not exceeded a numeric quota—provided we act reasonably and, where appropriate, notify you.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FILEDEPOT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT FILES WILL BE PRESERVED FOREVER, THAT DOWNLOADS WILL BE FREE OF INTERRUPTION OR LOSS, OR THAT THE SERVICE WILL DETECT ALL MALICIOUS OR ILLEGAL CONTENT. YOU USE THE SERVICE AT YOUR OWN RISK AND SHOULD MAINTAIN INDEPENDENT BACKUPS OF IMPORTANT DATA.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FILEDEPOT, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FILEDEPOT FOR THE SERVICE DURING THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED UNDER MANDATORY LAW (FOR EXAMPLE, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE).

10. Indemnity

You will defend, indemnify, and hold harmless Filedepot and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your content, your use of the Service, your violation of these Terms, or your violation of third-party rights or law. We may assume exclusive defense and control of any matter subject to indemnification at your expense; you agree to cooperate with our defense.

11. Suspension and termination

You may stop using the Service at any time and may request account closure through the means we provide. We may suspend or terminate your access immediately if you breach these Terms, if we are required to do so by law, if continued provision would create undue risk, or if you have not paid amounts due. Upon termination, your right to use the Service ceases; we may delete your content after a grace period consistent with our Privacy Policy and product behaviour.

Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, indemnity, and governing law) will survive termination.

12. Changes to the Terms

We may modify these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. If changes are material, we will provide additional notice where required by law. Your continued use after the effective date constitutes acceptance unless applicable law requires otherwise. If you do not agree, you must stop using the Service.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware and the federal laws of the United States applicable therein, without regard to conflict-of-law principles, except that if you are a consumer resident in the EEA, UK, or another jurisdiction with mandatory consumer protections, you may benefit from additional rights and remedies that cannot be waived.

Except where prohibited by law, you agree that exclusive jurisdiction and venue for disputes arising out of or relating to these Terms or the Service will lie in the state or federal courts located in Delaware, USA, and you consent to personal jurisdiction there. Some jurisdictions do not allow certain limitations; in those cases, our liability will be limited to the fullest extent permitted.

14. General

These Terms, together with the Privacy Policy and any plan-specific terms presented at purchase, constitute the entire agreement between you and Filedepot regarding the Service and supersede prior understandings on the same subject. If any provision is held invalid, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

15. Contact

For legal notices, abuse reports, or general questions about these Terms, use the contact or support channel published on the Filedepot website or available from your account dashboard. For copyright notices, mark the subject line clearly (for example, “Copyright / DMCA”) and include all information needed to process your request promptly.
